CountIDS

Terms of Service

Last updated: October 5, 2026

General Terms

By accessing or using CountIDS, you confirm that you are in agreement with and bound by these Terms of Service (the "Terms"). These Terms apply to the entire website and any email or other type of communication between you and CountIDS.

License

CountIDS grants you a revocable, non-exclusive, non-transferable, limited license to access and use the CountIDS Service, for your internal professional purposes (including work on your clients' matters), strictly in accordance with these Terms.

These Terms are a contract between you and CountIDS (referred to in these Terms as "CountIDS", "us", "we" or "our"), the provider of the CountIDS website and the services accessible from the CountIDS website (which are collectively referred to in these Terms as the "CountIDS Service").

You are agreeing to be bound by these Terms. If you do not agree to these Terms, please do not use the CountIDS Service. In these Terms, "you" refers both to you as an individual and to the entity you represent. If you accept these Terms on behalf of a law firm or other entity, you confirm that you have authority to bind that firm or entity to these Terms. If you violate any of these Terms, we reserve the right to cancel your account or block access to your account without notice.

The Service

CountIDS is a web application, available at countids.com, for patent professionals and law firms. It calculates the USPTO size fee for information disclosure statements under 37 CFR 1.17(v), based on the cumulative number of references cited in an application, with fee thresholds at 50, 100 and 200 references.

You can add references by uploading documents (PDF files of up to 25 MB and 100 pages), by entering them manually, or by using "Fetch from USPTO". "Fetch from USPTO" retrieves data on published or granted applications only, through the USPTO Open Data Portal, and is rate-limited. CountIDS keeps a ledger for each application and flags possible overpayments and underpayments.

Fillable forms are read exactly as filled in. Scanned or flattened documents are read by optical character recognition (OCR) on our own server; the result is a draft that is marked for your review. Nothing is recorded in a ledger until you confirm it.

The Service is subject to usage limits, including rate limits on uploads and USPTO fetches and limits on file size and number of pages.

Definitions and key terms

To help explain things as clearly as possible in these Terms, every time any of these terms are referenced, are strictly defined as:

Accounts and Access

During the Beta Period, the Service is available by invitation only, to invited law firms and their personnel. You must sign in with a work email address. Other requests for access are placed on a waitlist.

You must give us accurate information, keep your sign-in credentials confidential, and not share your account with anyone else. You are responsible for all activity under your account. Please tell us promptly at help@countids.com if you believe your account has been used without your permission.

We may refuse, withdraw or revoke any invitation or access at our discretion.

You must be at least 18 years old and use the Service in a professional or business capacity. The Service is not offered to consumers.

No Legal Advice; Your Professional Responsibility

The Output is a calculation aid. It is not legal advice and does not replace your own professional judgment.

You must verify all counts and fees against the USPTO fee schedule in force at the relevant time and against the official record of the application. You are solely responsible for any filing, statement, assertion or payment that you make to the USPTO.

USPTO rules and fees may change, and the Service may not reflect a change immediately.

Beta Period

The Service is currently offered free of charge as a private beta, by invitation only. During the Beta Period, features may change, may not work as expected, or may be withdrawn, and we make no commitment as to availability or support.

CountIDS is not a docketing system or a system of record. You should keep your own copies of all filings, receipts and records.

We may end the Beta Period at any time. We will give you notice before the Beta Period ends or before any paid plan applies to you.

Restrictions

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the website or make the platform available to any third party (this does not prevent you from using the Output in your work for your clients or sharing it with them).
  • Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the website.
  • Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of CountIDS or its affiliates, partners, suppliers or the licensors of the website.
  • Circumvent, or attempt to circumvent, any rate limit, usage limit or security measure of the Service.
  • Use automated means, such as scrapers or bots, to access the Service, or extract data from it in bulk.
  • Upload malware or other harmful code, or any content that you have no right to upload or to have processed.
  • Use the Service to build a competing product, or benchmark the Service for publication, without our prior written consent.

Fees and Future Paid Plans

The Service is free of charge during the Beta Period.

We may later introduce fees, subscription plans or usage-based pricing. We will give you at least 30 days' notice before any fee applies to you, and you will not be charged unless you actively accept a paid plan. We will not charge you retroactively for your use of the Service during the Beta Period.

Prices, billing, taxes, renewals and refunds will be set out in the plan terms shown to you at the time of purchase. Plan terms that you accept form part of these Terms. If you do not wish to accept a paid plan, you may stop using the Service instead.

Your Content and Confidentiality

You keep all rights in Your Content. You grant us a limited, non-exclusive license to host, copy, process (including by OCR) and back up Your Content, only as needed to provide, secure and support the Service.

You confirm that you are entitled to upload Your Content, including any information that is confidential to your clients, and you remain responsible for your own professional confidentiality obligations.

We treat Your Content as confidential. It is stored encrypted on a per-user basis. We do not access Your Content ourselves unless you share it with us when you ask for help or give feedback. We do not sell Your Content, and we do not use it to train artificial intelligence models. We process any personal data in Your Content in accordance with our Privacy Policy at countids.com/privacy.

Uploads that you have not confirmed are deleted automatically after 12 hours without activity. You can delete an application's ledger yourself at any time. When your account is closed, we delete Your Content; encrypted backup copies may remain only for a limited period until they expire.

USPTO Data

Data that we fetch from the USPTO at your request is public data provided by the USPTO. We do not control its accuracy, completeness or availability. USPTO rate limits and service interruptions may delay or prevent fetches.

Feedback

You can send us feedback through the feedback form in the Service. If you choose to attach an application's ledger or IDS PDF files to your feedback, those attachments remain Your Content. We use them only to investigate and fix the issue you report.

If you use voice dictation in the feedback form, your speech is converted to text by your browser's speech recognition service, not by CountIDS.

Your Consent

Without limiting the above, CountIDS is not liable for any USPTO fees, surcharges or petition fees, for any loss of patent rights, or for any missed deadline, arising from your reliance on the Output.

Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute waiver of any subsequent breach.

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under these Terms shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under these Terms preclude further exercise of that or any other right granted herein. In the event of a conflict between these Terms and any applicable purchase or other terms, these Terms shall govern.

Amendments to these Terms

CountIDS reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will post any revised Terms on this page and update the "Last updated" date. If a revision is material we will provide at least 30 days' notice, by email or through the Service, prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion, but the introduction of a new fee, or an increase in an existing fee, is always a material change.

By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use CountIDS.

Entire Agreement

These Terms, together with the Privacy Policy, the Cookie Policy and any plan terms you accept, constitute the entire agreement between you and CountIDS regarding your use of the website and supersede all prior and contemporaneous written or oral agreements between you and CountIDS.

Any unauthorized use of the material is prohibited.

You retain ownership of Your Content. You may use the Output freely in your professional work, including your work for clients.

Governing Law and Jurisdiction

The term “dispute” means any dispute, action, or other controversy between you and CountIDS concerning the Services or these Terms, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. “Dispute” will be given the broadest possible meaning allowable under law.

These Terms and any dispute are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. Subject to the Notice of Dispute procedure below, the competent courts in Tel Aviv-Jaffa, Israel, have exclusive jurisdiction over any dispute, and you and CountIDS submit to their jurisdiction.

Notice of Dispute

In the event of a dispute, you or CountIDS must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: help@countids.com. CountIDS will send any Notice of Dispute to you by mail to your address if we have it, or otherwise to your email address. You and CountIDS will attempt to resolve any dispute through informal negotiation within thirty (30) days from the date the Notice of Dispute is sent. After thirty (30) days, you or CountIDS may bring proceedings in the courts set out in the Governing Law and Jurisdiction section.

Interim Relief and Costs

Either party may seek any interim or preliminary injunctive relief from any court of competent jurisdiction, as necessary to protect the party’s rights or property pending the resolution of the dispute. Each party shall bear its own legal, accounting, and other costs, fees, and expenses, unless the court orders otherwise.

Typographical Errors

In the event a paid plan is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for that plan at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your payment method charged. If your payment method has already been charged for the purchase and your order is canceled, we shall immediately issue a refund to your payment method in the amount of the charge.

Miscellaneous

Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of CountIDS. CountIDS will be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by you. CountIDS operates and controls the CountIDS Service from its offices in Tel Aviv, Israel. The Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access the CountIDS Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. The section headings used in these Terms are for convenience only and will not be given any legal import.

We may assign these Terms to a successor or an affiliate. You may not assign these Terms without our prior written consent. We may give you notices by email to the address associated with your account.
